These Terms of Use (“Terms”) govern your access to and use of the Slooster platform, website, and related services (collectively, the “Services”) provided by Slooster, Inc., a Delaware corporation (“Slooster,” “we,” “us,” or “our”).

These Terms are incorporated by reference into, and should be read together with, the Slooster Privacy Policy.

Use of this Site and Service is prohibited in any jurisdiction that does not give effect to all provisions of these Terms.

By accessing or using the Services, you agree to be bound by these Terms.

1. The Services

Slooster provides software and AI-assisted tools designed to help teams or committees collaboratively evaluate and select enterprise software. The Services may include:

AI-generated summaries, comparisons, and analyses
User-submitted content and structured inputs
Collaboration tools, such as polls and surveys
Links to third-party software vendors and external resources

The Services are intended to support internal evaluation and collaboration and do not replace independent judgment, due diligence, or professional advice.

2. Eligibility and Authority

You represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

Use the Services in violation of applicable laws or regulations
Interfere with or disrupt the security or performance of the Services
Attempt to reverse engineer, scrape, or misuse the Services or underlying systems
Represent AI-generated content as verified, authoritative, or human-produced without review

4. Privacy, Data Use, and Confidentiality

4.1 Privacy Policy Controls

Slooster’s collection, use, and protection of personal data is governed by the Privacy Policy, which is partially incorporated into these Terms by reference. See Full Slooster Privacy Policy.

4.2 Data Use and Confidentiality

Slooster processes customer-provided data solely to provide, operate, secure, and improve the Services, consistent with the Privacy Policy and any applicable NDA or Beta Participation Agreement.

Customer data is:

Used only for authorized business purposes
Not sold, rented, or shared without explicit opt-in or legal obligation
Accessible only to authorized personnel and service providers under confidentiality and data-processing obligations

4.3 Customer Responsibilities

You represent that you have the right to submit all content, data, or materials provided to the Services and that such submission does not violate any confidentiality, privacy, or contractual obligations.

5. AI-Generated Content and Limitations

5.1 Nature of AI Output

The Services may generate content using artificial intelligence and machine learning systems (“AI Output”).

You acknowledge and agree that:

AI Output is probabilistic and non-deterministic
AI Output may be incomplete, inaccurate, or outdated
AI Output does not constitute legal, financial, procurement, or professional advice

You are solely responsible for reviewing, validating, and determining the suitability of AI Output before relying on it.

5.2 No Responsibility for Training Data

Slooster does not control the training data, training methods, or internal operation of third-party AI models and makes no representations regarding the completeness, legality, or accuracy of such data.

6. Third-Party AI Providers

Slooster integrates or relies on third-party AI services, including but not limited to OpenAI (ChatGPT), Perplexity, Anthropic, and Google (Gemini).

Slooster:

Does not control how third-party AI models are trained
Does not assume responsibility for how training data was sourced, licensed, or collected
Requires appropriate contractual confidentiality and security commitments from service providers where applicable

Use of third-party AI services is subject to the providers’ own terms and policies.

7. Third-Party Content and External Links

The Services may contain links to third-party websites, vendors, or resources.

Slooster:

Does not endorse or verify third-party content
Makes no warranties regarding accuracy, availability, or legality
Is not responsible for any outcomes arising from your use of third-party services

Your interactions with third-party services are solely between you and the third party.

8. Subscription Plans and Services

Slooster offers multiple products for specific audiences. Features are subject to change as Slooster improves and adjusts offerings without advance notice.

Slooster products include Slooster Advisor and Slooster Guide.

8.1 Slooster Advisor Subscriptions

Plans

Slooster Advisor offers two subscription options:

Annual Plan
$199 per month with a 12-month commitment with a one-time charge of $2,388 each year.

Monthly Plan
$279 per month with no long-term commitment.

Subscriptions are billed monthly in advance.

Annual Commitment

If you choose the Slooster Advisor Annual Plan, you agree to maintain your subscription for 12 months from the start of your subscription. The discounted price reflects this commitment.

Early Cancellation

If you cancel a Slooster Advisor Annual Plan before the 12-month term ends, you agree to pay either:

the remaining balance for the rest of the term, or
the difference between the Annual Plan price ($199/month) and the Monthly Plan price ($279/month) for the months your account was active.

These amounts may be charged immediately upon cancellation.

Monthly Plan Cancellation

Monthly plans may be cancelled at any time.

Cancellation takes effect at the end of the current billing cycle.

Auto-Renewal

Subscriptions automatically renew unless cancelled.

Annual plans renew for successive 12-month terms.
Monthly plans renew each month.

We will provide at least 15 days’ notice prior to renewal.

Project Credits

Each active subscription includes one (1) project credit per month, which allows the subscriber to initiate one software selection project (“Project”).

Unused project credits roll over and accumulate during the active subscription period. Accumulated credits may be used at any time while the subscription remains active and in good standing.

Project credits expire immediately upon cancellation or termination of the subscription and will not carry forward after the subscription ends.

Additional Projects

If a subscriber initiates more Projects than the number of available project credits, the Slooster Advisor subscriber may create additional Projects at a rate of $175 per additional Project.

Charges for additional Slooster Advisor Projects may be billed to the payment method on file at the time the Project is initiated.

Slooster may update the price of additional Slooster Advisor Projects from time to time. Any updated pricing will apply prospectively and will be communicated in advance through the product interface or via email.

Service Usage

Project credits represent the ability to initiate a Project within the Slooster platform. The scope, capabilities, and underlying technologies used to deliver Projects may evolve over time as we improve the service.

Slooster reserves the right to modify how Projects are generated, processed, or delivered, provided such changes do not materially reduce the core functionality of the service during an active subscription term.

8.2 Slooster Guide Subscriptions

Plan

Slooster Guide is provided as an annual subscription of $9,588 with a 12-month commitment. Customers can opt for $799 per month billing instead of a one-time $9,900 charge for the 12-month commitment (available by request).

The Slooster Guide Guarantee

If you cancel the Slooster Guide plan within the first 60-days of the subscription start date, you will be entitled to a full refund of the amount(s) paid for that 12-month subscription plan.

Cancellation After 60 Days During Term of Annual Plan

If you cancel the Slooster Guide Annual Plan after 60 days from the subscription start date but before the 12-month term ends, you agree to pay the remaining balance for the rest of the term if not already paid.

These amounts may be charged immediately upon cancellation.

Cancellation takes effect at the end of the current billing cycle.

Charges for additional Slooster Advisor Projects may be billed to the payment method on file at the time the Project is initiated.

Slooster may update the price of additional Slooster Guide Projects from time to time. Any updated pricing will apply prospectively and will be communicated in advance through the product interface or via email.

Service Usage

Project credits enable you to initiate a Project within the Slooster platform. The scope, capabilities, and underlying technologies used to deliver Projects may evolve over time as we improve the service.

8.3 Cancelations, Refunds, and Pricing Changes

Canceling

You may cancel your subscription through your account settings or by contacting Slooster support. To avoid renewal charges, cancellation must be completed before the next billing date.

Refunds

Subscription fees are non-refundable except where required by law.

Pricing Changes

We may update subscription pricing from time to time. Any changes will apply at the next renewal term, and we will notify you in advance.

8.4 Billing

Payment Authorization

By subscribing to Slooster, you authorize us to charge your payment method on file for all applicable subscription fees, taxes, and any amounts due under these Terms, including charges resulting from early cancellation of a committed plan or additional Projects.

If a payment cannot be processed, we may suspend or terminate access to the service until payment is successfully completed.

Failed Payments

If a payment fails or your payment method expires, we may retry the charge using the payment method on file. You agree to keep your billing information accurate and up to date.

We may suspend or limit access to the service if payment remains outstanding.

9. Beta Services (If Applicable)

If you access Slooster Advisor or Slooster Guide under a Beta Participation Agreement, the Services are provided as-is, for evaluation purposes only.

Beta Services:

May change, degrade, or be discontinued without notice
Are not guaranteed to be production-ready
Carry no assurances regarding accuracy, availability, or performance

10. Account Suspension

The Slooster service is provided “as is” and “as available.” To the fullest extent permitted by law, Slooster disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the service will be error-free, uninterrupted, or that the information generated will always be complete or accurate.

11. No Warranty

Slooster reserves the right to suspend or terminate access to the service if:

payment obligations are not met,
the service is used in violation of these Terms, or
usage of the service poses a risk to the platform, other users, or the integrity of the service.

Where reasonably practicable, we will provide notice and an opportunity to resolve the issue before suspension.

9. Intellectual Property

All software, platform features, content, and trademarks provided by Slooster are owned by or licensed to Slooster and are protected by intellectual property laws.

You retain ownership of your submitted content. You grant Slooster a limited, non-exclusive license to use such content solely to provide and operate and improve the Services, consistent with the Privacy Policy and any applicable NDA.

10. Security and Incident Response

Slooster maintains reasonable administrative, technical, and organizational safeguards designed to protect customer data against unauthorized access, disclosure, alteration, or destruction, consistent with the Privacy Policy.

Slooster maintains procedures designed to:

Detect and respond to security incidents
Contain and remediate confirmed incidents
Notify affected customers and regulators where required by law

No system is completely secure; however, Slooster regularly reviews and improves its security practices.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLOOSTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF AI OUTPUT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SLOOSTER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
SLOOSTER’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SLOOSTER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $10 IF NO FEES WERE PAID

13. Indemnification

You agree to indemnify and hold harmless Slooster from claims, damages, and expenses arising from:

Your use of the Services
Your reliance on AI Output without independent verification
Your violation of these Terms or applicable law

14. Modifications and Termination

Slooster may modify these Terms or the Services at any time. Continued use after changes become effective constitutes acceptance of the revised Terms.

Slooster may suspend or terminate access to the Services for violation of these Terms.

15. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in Delaware.
