These Terms of Use (“Terms”) govern your access to and use of the Slooster platform, website, and related services (collectively, the “Services”) provided by Slooster, Inc., a Delaware corporation (“Slooster,” “we,” “us,” or “our”).
These Terms are incorporated by reference into, and should be read together with, the Slooster Privacy Policy.
Use of this Site and Service is prohibited in any jurisdiction that does not give effect to all provisions of these Terms.
By accessing or using the Services, you agree to be bound by these Terms.
1. The Services
Slooster provides software and AI-assisted tools designed to help teams or committees collaboratively evaluate and select enterprise software. The Services may include:

Collaboration tools, such as polls and surveys

The Services are intended to support internal evaluation and collaboration and do not replace independent judgment, due diligence, or professional advice.
2. Eligibility and Authority
You represent that you are at least 18 years old and have the legal authority to enter into these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

Use the Services in violation of applicable laws or regulations

Interfere with or disrupt the security or performance of the Services

Attempt to reverse engineer, scrape, or misuse the Services or underlying systems

Represent AI-generated content as verified, authoritative, or human-produced without review
4. Privacy, Data Use, and Confidentiality
4.1 Privacy Policy Controls
Slooster’s collection, use, and protection of personal data is governed by the Privacy Policy, which is partially incorporated into these Terms by reference.
4.2 Data Use and Confidentiality
Slooster processes customer-provided data solely to provide, operate, secure, and improve the Services, consistent with the Privacy Policy and any applicable NDA or Beta Participation Agreement.
Customer data is:

Not sold, rented, or shared without explicit opt-in or legal obligation

Accessible only to authorized personnel and service providers under confidentiality and data-processing obligations
4.3 Customer Responsibilities
You represent that you have the right to submit all content, data, or materials provided to the Services and that such submission does not violate any confidentiality, privacy, or contractual obligations.
5. AI-Generated Content and Limitations
5.1 Nature of AI Output
The Services may generate content using artificial intelligence and machine learning systems (“AI Output”).
You acknowledge and agree that:

AI Output is probabilistic and non-deterministic

AI Output may be incomplete, inaccurate, or outdated

AI Output does not constitute legal, financial, procurement, or professional advice
You are solely responsible for reviewing, validating, and determining the suitability of AI Output before relying on it.
5.2 No Responsibility for Training Data
Slooster does not control the training data, training methods, or internal operation of third-party AI models and makes no representations regarding the completeness, legality, or accuracy of such data.
6. Third-Party AI Providers
Slooster integrates or relies on third-party AI services, including but not limited to OpenAI (ChatGPT), Perplexity, Anthropic, and Google (Gemini).
Slooster:

Does not control how third-party AI models are trained

Does not assume responsibility for how training data was sourced, licensed, or collected

Requires appropriate contractual confidentiality and security commitments from service providers where applicable
Use of third-party AI services is subject to the providers’ own terms and policies.
7. Third-Party Content and External Links
The Services may contain links to third-party websites, vendors, or resources.
Slooster:

Does not endorse or verify third-party content

Makes no warranties regarding accuracy, availability, or legality

Is not responsible for any outcomes arising from your use of third-party services
Your interactions with third-party services are solely between you and the third party.
8. Beta Services (If Applicable)
If you access the Services under a Beta Participation Agreement, the Services are provided as-is, for evaluation purposes only.
Beta Services:

May change, degrade, or be discontinued without notice

Are not guaranteed to be production-ready

Carry no assurances regarding accuracy, availability, or performance
9. Intellectual Property
All software, platform features, content, and trademarks provided by Slooster are owned by or licensed to Slooster and are protected by intellectual property laws.
You retain ownership of your submitted content. You grant Slooster a limited, non-exclusive license to use such content solely to provide and operate and improve the Services, consistent with the Privacy Policy and any applicable NDA.
10. Security and Incident Response
Slooster maintains reasonable administrative, technical, and organizational safeguards designed to protect customer data against unauthorized access, disclosure, alteration, or destruction, consistent with the Privacy Policy.
Slooster maintains procedures designed to:

Contain and remediate confirmed incidents

Notify affected customers and regulators where required by law
No system is completely secure; however, Slooster regularly reviews and improves its security practices.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SLOOSTER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY OF AI OUTPUT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

SLOOSTER SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES

SLOOSTER’S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO SLOOSTER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $10 IF NO FEES WERE PAID
13. Indemnification
You agree to indemnify and hold harmless Slooster from claims, damages, and expenses arising from:

Your use of the Services

Your reliance on AI Output without independent verification

Your violation of these Terms or applicable law
14. Modifications and Termination
Slooster may modify these Terms or the Services at any time. Continued use after changes become effective constitutes acceptance of the revised Terms.
Slooster may suspend or terminate access to the Services for violation of these Terms.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any legal action shall be brought exclusively in the state or federal courts located in Delaware.
